Seed Data Room Checklist: What Investors Actually Want
When investors move to due diligence, they'll ask for a data room. Having one ready makes you look organized and speeds up the process. This guide covers exactly what to include.
What is a Data Room?
A data room is a secure, organized collection of documents that investors review during due diligence. It proves your claims and answers their questions before they ask.
Why It Matters
Speed: A well-organized data room can shorten due diligence from 4 weeks to 1 week
Trust: Shows you're organized and take the process seriously
Leverage: Multiple investors can access simultaneously, creating competitive pressure

Version Control
When updating documents:
- Keep latest version in main folder
- Move old versions to an "Archive" subfolder
- Note version number in filename if relevant
Data Room Best Practices
1. Prepare Before You Need It
Start building your data room 4-6 weeks before fundraising. You don't want to scramble.
2. Track Views (When Possible)
Tools like DocSend show who viewed which documents and for how long. This intelligence helps you:
- Identify serious vs. casual interest
- See what concerns investors (what they review multiple times)
- Know when to follow up
3. Curate for Stage
Don't include everything in your initial share. Standard approach:
First meeting: Deck only Second meeting: Basic data room access Term sheet stage: Full data room access
4. Keep It Updated
Set a calendar reminder to update key documents monthly:
- Financial statements
- Customer list
- Metrics
- Cap table
5. Watermark Sensitive Documents
For highly confidential documents (customer lists, contracts), consider:
- Watermarking with investor name
- Time-limited access
- View-only (no download) settings
Red Flags Investors Look For
Avoid these data room mistakes:
š© Missing incorporation documents ā Suggests legal issues š© No financial tracking ā Suggests poor operations š© Messy cap table ā Suggests future problems š© Outdated information ā Suggests lack of organization š© Missing customer evidence ā Suggests inflated claims š© No IP documentation ā Suggests rights issues
