SparkLaunch Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of SparkLaunch websites, applications, APIs, and related services (collectively, the "Services"). "You" means the individual or entity using the Services.

By using SparkLaunch, you agree to these Terms.

1. Eligibility and Account Responsibilities

  • You must be at least 18 years old and able to form a binding agreement.
  • You are responsible for account credentials, activity under your account, and keeping account information accurate.
  • You must notify us promptly of suspected unauthorized account use.

2. Use of the Services

SparkLaunch provides startup workflow tooling that may include:

  • Idea analysis and planning workflows.
  • Branding, landing pages, and lead capture workflows.
  • CRM, GTM, cap table, pitch deck, and investor-readiness workflows.
  • Entity formation, KYC, document, and related compliance workflows.

We may update, improve, add, or remove features over time.

3. Acceptable Use

You agree not to:

  • Violate applicable law or third-party rights.
  • Upload or transmit unlawful, infringing, malicious, deceptive, or harmful content.
  • Attempt unauthorized access, abuse, scraping, reverse engineering, or disruption of the Services.
  • Interfere with service security, rate limits, or integrity controls.
  • Use the Services to build or train a competing service through unauthorized extraction of system outputs or datasets.

4. User Content and License to SparkLaunch

You retain ownership of content you submit to SparkLaunch ("User Content"), subject to the rights you grant below.

You grant SparkLaunch and its service providers a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, transmit, analyze, and display User Content as needed to:

  • Provide and operate the Services.
  • Secure, debug, monitor, and maintain quality.
  • Improve service performance, reliability, and product capabilities.
  • Build and improve concept-to-funding systems, including internal models, scoring logic, recommendations, automation flows, and aggregated benchmarks.

This includes use of derived, aggregated, and de-identified data, and where needed, identifiable workflow data to operate and improve service outcomes.

5. AI and Automation Outputs

  • SparkLaunch may provide AI-assisted outputs and recommendations.
  • Outputs may be incomplete, inaccurate, or not suitable for your specific circumstances.
  • You are responsible for reviewing outputs and making final business, legal, financial, tax, and compliance decisions.

6. No Legal, Tax, or Investment Advice

SparkLaunch is a software platform, not a law firm, tax advisor, broker-dealer, or investment advisor. Nothing in the Services constitutes legal, tax, accounting, or investment advice. You should consult qualified professionals for advice specific to your situation.

7. Payments, Subscriptions, and Billing

  • Paid features may include one-time purchases and recurring subscriptions.
  • Payments are processed through third-party payment processors (for example Stripe).
  • Subscription plans renew automatically unless canceled before renewal.
  • You are responsible for applicable taxes, fees, and charges shown at checkout.
  • Except where required by law or expressly stated otherwise, fees are non-refundable.
  • We may suspend paid access for failed, reversed, or disputed payments.

8. Third-Party Services

The Services integrate with third-party platforms and providers. Your use of those integrations may also be subject to third-party terms and policies. We are not responsible for third-party services we do not control.

9. Confidentiality and Sharing Controls

  • You are responsible for how you configure collaboration, invites, and external sharing links.
  • Anyone with a valid share link or password may access the resources permitted by that link.
  • You are responsible for managing and revoking links when needed.

10. Suspension and Termination

We may suspend or terminate access if:

  • You violate these Terms.
  • Your use presents security, legal, or operational risk.
  • We are required to do so by law.

You may stop using the Services at any time.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKLAUNCH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

13. Indemnification

You agree to defend, indemnify, and hold harmless SparkLaunch and its affiliates, officers, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Your continued use after changes become effective means you accept the updated Terms.
